Terms of Service

By accessing or using BriteCover(the “Service”), operated by CarboIT LLC(“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Service.

These Terms apply to all users of the Service, including organization owners, administrators, and agents. By creating an account or using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

BriteCover is a cloud-based management platform designed for insurance agencies. The Service provides tools for lead and prospect pipeline management, policy lifecycle tracking, quote comparison, renewal management, task automation, team collaboration, and AI-powered insights — all accessible through a web-based interface.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice when practicable.

To use the Service, you must create an account using a valid email address and password. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Providing accurate and current information during registration
• Notifying us immediately of any unauthorized access to your account

Organization owners may invite team members and assign roles (owner, admin, or agent). Each role has different access levels within the platform. Organization owners are responsible for managing their team's access and permissions.

BriteCover operates on a per-seat subscription model. Billing details:

• Pricing: Subscriptions are billed per seat, per month. Current pricing is available on our website.
• Payment processing: All payments are processed securely through Stripe. We do not store your payment card information on our servers.
• Free trial: We may offer a free trial period. At the end of the trial, your subscription will begin unless you cancel before the trial expires.
• Seat count: Your seat count is automatically adjusted as you add or remove team members from your organization.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

Only organization owners may manage billing, subscribe, or cancel subscriptions.

You agree not to use the Service to:

• Violate any applicable law or regulation
• Infringe upon the rights of any third party
• Upload or transmit malicious code, viruses, or harmful data
• Attempt to gain unauthorized access to the Service or its infrastructure
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any purpose other than managing insurance agency operations
• Scrape, data-mine, or extract data from the Service through automated means without our consent

We reserve the right to suspend or terminate accounts that violate these guidelines.

The Service, including its design, code, features, and documentation, is owned by CarboIT LLC and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any part of the Service.

You retain full ownership of all data you upload to the Service, including leads, customer records, policies, notes, and other business data. We claim no ownership rights over your content.

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

You own your data. You may export your data at any time. Upon account termination, we will retain your data for a reasonable period to allow retrieval, after which it will be permanently deleted.

BriteCover includes AI-powered features such as lead scoring, product matching, cross-sell suggestions, renewal risk analysis, daily briefings, and an AI assistant. These features are designed to assist your decision-making, not replace it.

Important disclaimers:

• AI features provide suggestions and insights based on available data. They are not a substitute for professional judgment.
• We do not guarantee the accuracy, completeness, or reliability of AI-generated outputs.
• You are solely responsible for decisions made based on AI suggestions.
• AI features may not be available at all times and may be modified or discontinued.

Either party may terminate the use of the Service at any time.

• By you: You may cancel your account at any time through the platform settings. Cancellation takes effect at the end of the current billing period.
• By us: We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, or if continued service is not commercially viable.

Upon termination, your right to use the Service ceases immediately. We will make your data available for export for a period of 30 days following termination.

To the maximum extent permitted by law, CarboIT LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service.

Our total liability for any claim related to the Service shall not exceed the total fees you paid to us in the twelve (12) months preceding the claim.

The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Texas.

We may update these Terms from time to time. When we make material changes, we will notify you by updating the “Last updated” date at the top of this page and, where appropriate, sending you a notification.

Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.
